Terms of Service
These Terms of Service ("Terms") govern your access to and use of the business-to-business online store at sumitomo-tools.com (the "Platform"), operated by Sumitomo Electric Hardmetal India Private Limited ("Sumitomo Electric Hardmetal India", "we", "us" or "our"), and every order you place through it.
Please read them before you register. By registering an account, signing in, or placing an order you accept these Terms on behalf of the business you represent. If you do not accept them, do not use the Platform.

2. The Platform is for business buyers only
The Platform sells precision cutting tools and related industrial products for use in manufacturing. It is offered only to businesses buying for commercial or industrial use, and only for delivery within India.
It is not a consumer store, and goods bought through it are bought for commercial purposes. Accordingly a buyer on the Platform is not a "consumer" for the purposes of the Consumer Protection Act, 2019. This does not reduce any right you have that cannot be excluded by law.
We do not sell to individuals buying for personal use. We may decline or cancel any registration or order that appears to be for personal use, for resale without our authorization, or for export.
3. Registration and your account
3.1 Who may register
By registering you represent that:
- you are a business registered in India — a sole proprietorship, partnership, limited liability partnership, company or other legal entity;
- you hold a valid GSTIN where you are required to be registered, and the GSTIN you give us is your own;
- you are authorized to accept these Terms and to place orders on behalf of that business; and
- the details you give us are true, complete and current, and you will keep them current.
We may verify your details and may approve, refuse or withdraw access at our discretion.
3.2 How signing in works
Your account is protected by a password and by a one-time code sent to your registered email address every time you sign in. The code is valid for ten minutes.
One email address and one telephone number may be used for one account only.
3.3 Your responsibilities
You are responsible for keeping your password and the one-time codes confidential, and for everything done through your account. Tell us immediately at ECsupport@shin.sei.co.jp if you believe your account has been used without your authority, and change your password. Changing your password signs your account out everywhere.
4. Product information, technical data and tool selection
We take care to describe our products accurately. Even so, dimensions, weights, grades, chipbreakers, recommended cutting conditions, CAD models, drawings, catalogue extracts and other application data published on the Platform are provided for guidance and are indicative only.
Cutting performance depends on the workpiece material, the machine, the toolholder, clamping, coolant, and the parameters chosen by the operator — none of which are within our control. You are responsible for satisfying yourself that a product is suitable for your application before you order it. Nothing on the Platform is a warranty or representation that a product is fit for a particular purpose, and no advice given by our staff or distributors creates one unless we confirm it in writing.
Images are illustrative. Products in a family may share a single photograph or a family-level drawing.
We may change, withdraw or discontinue any product at any time.
5. Prices
Prices are shown in Indian Rupees and only to signed-in registered buyers. Visitors who are not signed in cannot see prices, stock or delivery estimates and cannot add items to a cart.
Prices are quoted per piece and are exclusive of Goods and Services Tax. GST is calculated and added at checkout, together with any delivery charge. The total payable is the amount shown on the checkout page before you confirm the order.
Prices may change at any time without notice. The price that applies to your order is the price shown on the Platform at the time your order is confirmed, as recorded in our order confirmation and tax invoice.
Prices on the Platform are for orders placed on the Platform. They are not a quotation, and they do not apply to orders placed through any other channel unless we agree otherwise in writing.
6. Ordering
6.1 Order rules
The Platform applies the following rules at the cart, and an order that breaks them cannot proceed to checkout:
- Minimum order quantity. Each product has a minimum order quantity, shown on the product page.
- Pack size. Products are supplied in packs. The quantity you order must be a whole multiple of the pack size shown on the product page.
- Line limit. A single order may contain a maximum of 99 different products. Split a larger requirement across more than one order.
- Available stock. You cannot order more than the quantity available, except where a product is expressly offered on a lead time.
6.2 Offer and acceptance
Your order is an offer to buy. It is not accepted when you complete checkout, and it is not accepted by the automatic acknowledgement email that follows.
A contract is formed only when we confirm the order in writing or issue a tax invoice for it, whichever happens first, and then only for the items confirmed.
We may decline or cancel an order, in whole or in part, before that point — for example where a price or description was published in error, where stock is unavailable, where your account details cannot be verified, where the order appears to be for resale or export without our authorization, or where we suspect fraud. If we decline an order for which you have already paid, we refund you in full.
6.3 Purchase order numbers
You may record your own purchase order number against an order. It is your internal reference only. It is carried on our documents for your convenience and does not vary these Terms or import your own purchase-order conditions into the contract.
7. Payment
Payment is due in full before dispatch, using the payment methods shown at checkout. The methods we accept may change from time to time, and the list displayed at checkout is always the current one.
Payments are processed by a third-party payment provider on its own secure pages. We do not receive or store your card number, CVV, UPI PIN or net-banking credentials.
You may not set off any amount you claim from us against any amount you owe us.
8. GST and invoicing
We issue a GST-compliant tax invoice for every supply.
Tax is charged at the rate in force at the time of supply under the Central Goods and Services Tax Act, 2017 and the related State and Integrated GST legislation. Supplies within Maharashtra carry CGST and SGST; supplies to other States and Union Territories carry IGST. The split is shown on your order and on the invoice.
It is your responsibility to give us the correct GSTIN and the correct place of supply. We are not liable for input tax credit you cannot claim because the details you gave us were wrong, or because you changed the delivery address after the invoice was issued.
Your invoice number appears in the My Orders area of your account once our systems have issued it.
9. Delivery, risk and title
We deliver within India only. We do not deliver to addresses outside India and we do not arrange export.
Delivery timelines shown on the Platform are estimates based on the stock position at the time, not guarantees, and time is not of the essence. Full details are in our Shipping Policy, which forms part of these Terms.
Risk in the goods passes to you when the goods are handed to the carrier.
Title to the goods passes to you only when we have received payment in full for them. Until then you must store them so that they remain identifiable as ours, and we may repossess them if payment is overdue.
You must examine the goods on delivery. Shortages, wrong items and visible transit damage must be reported within the times set out in the Shipping Policy and the Refund and Returns Policy.
10. Returns, replacements and warranty
Returns, refunds, replacements, cancellations and warranty claims are governed by our Refund and Returns Policy, which forms part of these Terms.
In outline: returns need our prior written authorization and an RMA number; used, mounted or altered tooling cannot be returned; and special or custom-order products cannot be cancelled once procurement has begun.
Cutting tools are consumable. Wear in normal use is not a defect.
11. Intellectual property
All content on the Platform — including the software, page designs, text, photographs, drawings, CAD files, technical data sheets, catalogues, videos, trade marks, logos and the arrangement of the catalogue — belongs to us, to Sumitomo Electric Industries, Ltd., Japan, or to our licensors, and is protected by law.
We grant you a limited, non-exclusive, non-transferable, revocable license to view the Platform and to download and use technical documents and CAD files for the internal purpose of evaluating and using our products. Nothing else is permitted.
In particular you may not, without our prior written consent: copy, republish or redistribute content; use it in your own catalogue, website or marketing; create derivative works from our drawings or CAD files; remove any notice of ownership; or use our trade marks or those of the Sumitomo Electric group.
12. Acceptable use
You must not:
- use the Platform for any unlawful purpose, or in breach of any applicable Indian law;
- attempt to gain unauthorized access to the Platform, another buyer's account, or any underlying system;
- scrape, crawl, index or otherwise extract prices, stock levels, product data or the distributor directory by automated means, or attempt to circumvent the sign-in requirement that protects them;
- share your account credentials, or let anyone outside your business use your account;
- submit false or misleading registration details, including a GSTIN that is not yours;
- resell products bought on the Platform without our prior written authorization, or buy for export;
- interfere with the Platform's operation, introduce malicious code, or place automated or artificially high volumes of orders;
- reverse-engineer any part of the Platform.
13. Availability of the Platform
We aim to keep the Platform available, but we do not guarantee that it will be uninterrupted or error-free. We may suspend it, in whole or in part, to carry out maintenance, to make changes, or for security reasons, and we will try to give notice where that is practical.
14. Our liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
Subject to that:
- our total liability arising out of or in connection with an order, whether in contract, tort (including negligence), under statute or otherwise, is limited to the price paid for the goods giving rise to the claim;
- we are not liable for indirect or consequential loss, or for loss of profit, loss of production, loss of contracts, loss of anticipated savings, machine downtime, scrapped workpieces, damage to machines or fixtures, or loss of goodwill, however caused;
- we are not liable for any loss arising from your selection of a product, your choice of cutting parameters, or your use of a product outside its rated application;
- we are not liable for any loss arising from your failure to keep your account credentials confidential.
You must give us a reasonable opportunity to inspect any product you claim is defective before it is scrapped, reground or repaired.
15. Indemnity
You will indemnify us and our directors, employees and affiliates against any claim, loss, liability, cost or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, your resale or export of products bought on the Platform without our authorization, or your infringement of any third-party right.
16. Force majeure
We are not liable for any failure or delay in performing our obligations caused by an event beyond our reasonable control, including natural disaster, fire, flood, pandemic, epidemic, war, civil unrest, terrorism, strike or other labor dispute, failure of power or telecommunications, cyber attack, act of government, restriction on imports or transport, or failure of a carrier or supplier. If such an event continues for more than sixty days, either of us may cancel the affected order without liability, and we will refund anything you have paid for goods not delivered.
17. Suspension and termination
You may close your account at any time by writing to ECsupport@shin.sei.co.jp.
We may suspend or close your account, or withdraw access to the Platform, if you breach these Terms, if we suspect fraud or misuse, if your details cannot be verified, if amounts are overdue, or where we are required to do so by law. Where it is reasonable to do so we will tell you first.
Closing an account does not affect orders already accepted, amounts already due, or any provision of these Terms which by its nature is intended to survive — including sections 11, 14, 15, 18 and 19.
18. Governing law and disputes
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by the laws of India.
If a dispute arises, we both agree to try in good faith to resolve it by discussion first. Either of us may start that process by writing to the other setting out the dispute.
If the dispute is not resolved within thirty days, it is subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra.
19. General
Changes to these Terms. We may update these Terms. The current version is always published on this page with its effective date. Changes do not apply to orders we have already accepted. Continuing to use the Platform after a change takes effect means you accept the revised Terms.
Entire agreement. These Terms, together with the Privacy Policy, the Shipping Policy and the Refund and Returns Policy, and our written order confirmation, form the whole agreement between us for Platform orders. They replace any earlier understanding, and they prevail over any conflicting term in your purchase order or other document. Where we have signed a separate supply agreement with you, that agreement prevails to the extent of any conflict.
Severability. If any provision is found to be invalid or unenforceable, the rest continues in force.
No waiver. If we do not enforce a provision, that is not a waiver of it.
Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign ours to another company in the Sumitomo Electric group.
Notices. Notices to you are sent to your registered email address. Notices to us are sent to ECsupport@shin.sei.co.jp and to our registered office.
Language. These Terms are made in English. Any translation is for convenience, and the English version prevails.
